Villages Tai Chi Club Bylaws
Article 1 Name
The name of this organization shall be the Villages Tai Chi Club.
Article 2 Purpose
The purpose of the club is to provide the villagers with a wide range of physical fitness with an organized exercise. This relaxing, gentle and meditative body movement, Tai Chi, is designed to enhance internal energy through deep breathing, achieving better blood circulation, body balance and reducing mental stress.
Article 3 Membership
A. Membership in the club is open to all residents of the Villages. Non-residents may attend activities as guests by invitation, but may not be “associate members”.
B. Member will abide by the Villages Golf and Country Club Governing Documents, including Rules.
C. The club may not expel a member; issues with a member may be referred to the Villages Club Board.
D. Members should attend at least 60% the exercises and other group activities.
E. To support club operations, a $7 annual dues will be charged to every member registered at the beginning of each year. Dues will be paid through the HOA billing process. New members who join in the first half of theyear may be charged at mid-year.
Article 4 Board
The board of the club will have at least one president, one vice-president, one secretary, and one social director.
The President of the club is responsible for the annual reporting requirements of the Villages Club Rule 1.40. The club must provide a membership list, its officers and directors to the Community Activities Department each year. The President shall be at all general and special meetings and may appoint committees of officers or members if needed.
Duties of other officers:
● Vice-President: Will assist the president in operations and leads the exercise when the President is not available.
● Treasurer/Secretary: is responsible for all paperwork, such as membership list, bookkeeping, financial report, meeting minutes, and keep all records.
● Training Director: is responsible for training newcomers, helping members to improve their movements and leading the exercise when needed.
● Marketing officer: is in charge of all marketing activities, such as club promotion, advertising, club imaging.
● Social Director: is responsible for socializing with members, recruiting new members and organizing special
events.
Article 5 Membership Meetings
A. A Membership meeting is a meeting to elect officers and directors, approve Bylaws and other business related issues. There will be a minimum of one membership meeting per year. Notification shall be given at least seven days in advance to members. The quorum for membership meetings is 20% of club members.
B. Special Membership meetings may be called by the president or upon request of other officers and directors.
Article 6 Amendments
These Bylaws may be amended by majority vote of the members at a Membership Meeting, after an explanation and discussion of the proposed changes, with a quorum of the membership present. Amendments must be approved by the Villages Golf and Country Club Board of Directors to be effective.
Article 7 Board Recognition of Club
The club must comply with Villages Club Rule 1.40 to obtain club Board recognition. Failure to maintain compliance with these Bylaws, with Villages Golf and Country Club Governing Documents, and with Rule 1.40, including any failure in annual reporting or failure to maintain the required active membership, or to comply with other requirements imposed by the Villages Golf and Country Club Board, may result in withdrawal of Board recognition.
Article 8 Conflict of Documents
The governing documents of The Villages Golf and Country Club, including Club Rules, including any future changesto them, take precedence over any provision of these Bylaws.
